The Opportunity:

As we continue to expand and transform the primary care experience, we’re looking for talent to support the work that makes One Medical and Amazon Health Services unique. We are looking for a Commercial Healthcare Transactions Counsel to join our Legal team.  This role involves supporting the strategic commercial initiatives and partnerships.    

The successful candidate has strong legal fundamentals, with experience drafting and negotiating large complex transactions, partnership and other strategic arrangements, and general commercial transactions. You are knowledgeable about common issues in commercial transactions, and you having a healthcare background is a strong plus. You prioritize being responsive to clients and colleagues and have a bias for action whenever appropriate. In guiding your clients, you are able to transform complex information into clear, actionable advice, with a solutions oriented mindset. You build trust through your business savvy and thoughtful pragmatism.  Further, you embrace supporting diverse client needs in an adaptable and situationally appropriate manner.

Responsibilities:

  • Proactively work with the commercial and healthcare partnership teams to provide legal counsel and transaction support on a variety of strategic and commercial deals. 
  • Coordinate and consult with Legal colleagues to account for multiple legal perspectives and provide clients with broadly scoped legal advice.  
  • Draft and negotiate a variety of agreements, including enterprise sales, health network partnerships, and general commercial agreements, accounting for legal requirements and business objectives.
  • Advise and educate clients on legal issues pertinent to various transactions including regulatory obligations and limitations to inform their decision making and execution.
  • Collaborate with Legal and cross-functional colleagues to obtain stakeholder input and alignment to drive forward progress and deliver timely, clear, pragmatic and solutions oriented advice to the business

Qualifications:

  • J.D. from an ABA accredited law school and an active member in good standing with the Bar in any state.
  • 3+ years of complex commercial transaction experience.
  • 5+ years of legal practice experience 
  • Strong team orientation that facilitates communication and cooperation across teams and functions.
  • Sound judgment on when and how to surface and escalate issues.
  • Excellent written and verbal communication skills.

Preferred:

  • A mixture of law firm and in-house experience preferred. 
  • Healthcare experience or exposure strongly preferred, e.g. having a working knowledge of fraud waste and abuse laws, telehealth regulations, direct primary care, value-based care, state and federal risk-bearing organization laws, HIPAA, and ERISA issues.

This is a full-time on-site role based in New York City, San Francisco, Seattle or Washington, D.C. requiring presence in one of these corporate office locations 5 days per week.

Our compensation reflects the cost of labor across several US geographic markets. The base pay for this position ranges from $138,500/year in our lowest geographic market up to $229,000/year in our highest geographic market. Pay is based on a number of factors including market location and may vary depending on job-related knowledge, skills, and experience. Amazon is a total compensation company. Dependent on the position offered, equity, sign-on payments, and other forms of compensation may be provided as part of a total compensation package, in addition to a full range of medical, financial, and/or other benefits.
